The Social Impact EIS Fund I (the “Fund”) is a new £30m investment fund designed and launched, by Roaring Pride Ventures, to invest seed capital into creative and innovative technology businesses and concepts which have the potential of transforming industries and addressing some of the world’s most pressing societal issues.

RPV partner with entrepreneurs to conceive, design, launch and grow social impact technology businesses. We will employ strategies traditionally employed by incubators, accelerators and venture capital funds. In addition to capital, we bring together our deep domain and functional knowledge, infrastructure, commercial networks, and experience, to take ideas from concept to launch and scale working intimately with entrepreneurs.

RPV are pioneering a new model to fast-track the growth of new and innovative UK companies by combining our agility and expertise with the aim of disrupting the process of innovation, turning the art of venture building into a repeatable science through our Accelerated Venture Solution Environment. RPV will introduce enterprise models, processes, frameworks, and playbooks so we can rapidly deploy and co-create high impacting businesses that have the potential of solving many of the world’s biggest social challenges.

The Fund aims to allow investors the opportunity to gain a financial return whilst also making the world a better place. The Fund will invest in opportunities closely aligned to the UN Sustainable Development Goals.

    3.1 – Personal Contact Details – the postal and email addresses of investors will be retained for the following correspondence:

    • Bi-annual newsletters sent out in alternating quarters;
    • Annual Investor Report; and
    • Notifications regarding recent investments by the Fund.

    SECTION 4 – ACKNOWLEDGEMENTS

    4.1 – CONFIRMATION - I confirm that:

    1 In relation to my investment in the Social Impact EIS Fund I (the “Fund”), I hereby appoint Thompson Taraz Managers Limited (the “Investment Manager”) on the terms set out in the Investment Management Agreement accompanying this Application Form and which are incorporated herein by reference;

    2 I acknowledge the terms of and enter into the Investment Management Agreement;

    3 I am applying on my own behalf;

    4 I will notify the Investment Manager of any investment through the Fund in any company with which I am connected within sections 166, 167, 170 or 171 of the Income Tax Act 2007;

    5 I will notify the Investment Manager if, within three years of the date of issue of shares by an EIS Qualifying Company which is allotted to my portfolio, I become connected with the EIS Qualifying Company or receive value from such a company.

    6 I attach my cheque/send an electronic transfer for the amount shown above and enclose two forms of identification.

    7 I undertake to notify the Investment Manager immediately if any of the above information changes or if there are other relevant circumstances of which the Investment Manager should be aware in relation to managing investments made through the Fund on my behalf.

    4.2 – IDENTIFICATION COPIES – 1 document from List A (Identity Requirement) and 1 document from List B (Address ID Requirements) are required. If the Investor is Non-UK

    resident then copies should be originally certified by an FCA-approved person, a solicitor, a chartered or certified accountant or bank.

    Original documents will be returned by post at your risk. The Investment Manager reserves the right to request additional original Anti-Money Laundering documentation and

    reserves the right to carry out its own verification using an electronic anti-money laundering check at application and on an ongoing basis.

    1 Those who are exempt from verification as being an existing client of the introducing firm prior to the introduction of the requirement for such verification;

    accordance with COBS 9 of the FCA Handbook and that we consent to the Investment Manager relying on our assessment of suitability under COBS 2.4.

    I confirm that any payment to us that the Investor has requested Thompson Taraz Managers Limited to facilitate is in relation to the provision of advice to the Investor in respect of this application. I/we also confirm the amount has been agreed with the Investor in accordance with the FCA rules on adviser charging and remuneration.
